Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Resonaut mobile application (the "App"), operated by Resonaut, LLC ("we," "our," or "us"). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Eligibility

The App is intended for users aged 13 and older. If you are under 13, please ask a parent or guardian before using the App.

2. License to Use the App

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on your personal device, subject to these Terms.

You may not:

• Copy, modify, or distribute the App
• Reverse engineer or attempt to extract source code
• Use the App in any unlawful manner

3. Subscriptions and Premium Features

• Some features of the App require a paid Premium subscription.
• Payments are charged to your Apple ID or Google account at confirmation of purchase, depending on your platform.
• Subscriptions automatically renew unless canceled before the end of the current billing period. On iOS, cancellation must be made at least 24 hours before renewal; on Android, at least 24 hours before renewal via Google Play.
• You can manage or cancel subscriptions in your App Store account settings (iOS) or Google Play account settings (Android).
• We do not handle refunds directly. Refund requests must be made through Apple (iOS) or Google (Android).

4. Sound Content and Licensing

4.1 Licensed, Not Sold

All sounds, soundscapes, and audio content available in the App ("Sounds") are licensed, not sold. We or our licensors retain all rights, title, and interest in the Sounds. Your right to use Sounds is governed by the Resonaut Sound License.

4.2 Free vs. Premium Sound Use

Your permitted use of Sounds depends on your subscription status:

• Free users may use Sounds for personal, non-commercial purposes only.
• Premium subscribers may use Sounds for both personal and commercial purposes, subject to the restrictions below.

A Premium subscription does not transfer ownership of any Sound.

4.3 Prohibited Sound Uses (All Users)

Regardless of subscription tier, you may not:

• Resell, sublicense, or redistribute Sounds as standalone audio files
• Sell or distribute a soundscape or mix as a standalone audio product (e.g., a sound pack, ambient track sold for resale, or audio asset bundle)
• Include Sounds in a competing sound library, asset marketplace, or audio product
• Use Sounds in any way that exceeds the rights granted under the Resonaut Sound License

4.4 Third-Party Licensed Sounds

Some Sounds are provided under third-party licenses (such as Creative Commons), which may include additional terms or attribution requirements. These are disclosed within the App where applicable. You agree to comply with any such license restrictions.

5. Imported / Recorded Sounds

You may import or record sounds locally on your device for personal use within the App.

• Imported and recorded sounds are stored locally on your device only.
• We do not host, store, or upload these sounds to our servers.
• You represent that you have the legal right to use any sound you import.

You are solely responsible for any imported content.

6. Sharing Soundscapes

The App may allow you to share soundscape configurations (mixes, settings, or combinations of sounds) directly with others via messaging or other device features.

• Shared soundscapes do not include transferable ownership of or rights to any Sounds.
• Recipients must have lawful access to the App and its Sounds to use any shared soundscape.

7. Prohibited Uses

You agree not to:

• Use the App or its Sounds in any manner that exceeds your licensed rights
• Circumvent subscription, access, or DRM controls
• Use the App to infringe intellectual property rights
• Use the App for any illegal or harmful purpose

8. Intellectual Property

The App, including its design, features, trademarks, and branding, is owned by us and protected by intellectual property laws. Third-party Sounds remain the property of their respective licensors. Nothing in these Terms transfers ownership of any intellectual property to you.

9. Termination

We may suspend or terminate your access to the App at any time if you violate these Terms or misuse the App. Upon termination, your license to use the App and its Sounds ends immediately.

10. Disclaimer of Warranties

The App is provided "as is" and "as available." We make no warranties, express or implied, regarding the App's operation, availability, or suitability for any purpose.

11. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the App. Our total liability shall not exceed the amount you paid for the App or subscription, if any.

12. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance of the updated Terms.
